Content & Trademark Policy

Definitions
For the purposes of this Content & Trademark Policy:
- “Ask Miss Jai” means the Company (Toadhenge Consulting, LLC, 1655 Yosemite Street, Denver, Colorado, United States) and its affiliates and subsidiaries.
- Content refers to all content created by the Company for purchase for the purpose of education and entertainment. Including, but not limited to, recordings, course modules (in whole or part), written documents, toolkits, assessments, quizzes and surveys, workbooks, podcasts, and audio materials.
- Mark refers to the registered trademarks for “Ask Miss Jai” and “Toadhenge Consulting” as well as general use of Company name, derivatives of the Company name, product names, slogans, logos, brand colors, icons, iconography, designs, texts, images, videos, blogs, case studies, and articles drafted and created by Company.
All Content from the Company is considered intellectual property. Unauthorized use of the content is subject to legal action. Content is available for use by Service members on an individual basis, unless otherwise approved in writing. The use of the Ask Miss Jai Mark requires written authorization by submitting a Use Request to the Company.
If your Use Request is approved by the Company, then the following terms shall apply to your Use of the Ask Miss Jai Mark. If you do not agree to be bound by these terms, you should not submit your Use Request and you should not use the Ask Miss Jai mark.
Grant of License
Ask Miss Jai on behalf of its affiliates and subsidiaries hereby grants You a limited, royalty-free, worldwide, non-exclusive, non-transferable license to use the Mark for the purposes of displaying the Mark solely as indicated in the Use Request Form. You will use the Mark without modification. A transfer of the license as well as sublicensing is not permitted.
Use of the Mark
You agree that You will not depict the Mark in any manner that would denigrate, disparage, tarnish, present in a false light, or otherwise reflect negatively on the Mark of Ask Miss Jai. You agree to use the Mark only to identify Ask Miss Jai as a Company customer or business partner. Use of the Mark will not be used to indicate Ask Miss Jai’s endorsement of You unless otherwise agreed in writing by Company.
Ownership of the Mark
You acknowledge that Ask Miss Jai retains ownership of all intellectual property rights related to the Mark.
Termination
Ask Miss Jai may revoke their permission to use the Mark at any time by providing written notice to You. Upon receipt of written notice of termination, You will discontinue all use of the Mark within thirty (30) days, except as permissible under United States law.
Miscellaneous
These Terms of Use are governed by and construed in accordance with the laws of the United States (excluding its conflicts of laws provisions). All disputes arising out of or in relating to these Terms of Use will be subject to the exclusive jurisdiction and venue of the state and federal courts of Denver, Colorado United States. Nothing in these Terms of Use is intended to confer any benefit, right, or remedy upon any person other than Ask Miss Jai and You. If any provision of these Terms of Use is found to be unenforceable, that provision will be severed, and the remainder of these Terms of Use will continue in full force and effect. In such a case, the parties will engage to agree an effective and enforceable provision that most closely relates to the purpose of the invalid provision. Company may revise these terms from time to time. If Company does revise these terms, the revised terms will supersede prior versions. Unless Company says otherwise, revisions will be effective upon the effective date indicated at the top of this page. Company will provide You advance notice of any material revisions via email. Company encourages you to check the effective date of these terms whenever you visit Ask Miss Jai’s webite. Your continued use of Ask Miss Jai’s mark constitutes your acceptance of any revisions. If you don’t agree to the revisions, you should stop using the Ask Miss Jai mark. Neither party may assign, delegate, or otherwise transfer its rights under these Terms of Use without the prior written consent of the other party, except that Ask Miss Jai may assign these Terms of Use to a Company affiliate or subsidiary. These Terms of Use constitute the entire agreement between the parties with respect to the subject matter of these Terms of Use and supersedes any prior or contemporaneous agreements, oral or written, relating to the subject matter of these Terms of Use.
